1. Introduction & Acceptance
These Terms of Service ("Terms") govern your access to and use of the website www.ledo.net and the digital product services provided by Soluciones Virtuales en la Red, S.L. ("Ledo", "we", "us").
By accessing this website or signing a Statement of Work (SOW) with us, you agree to be bound by these Terms. If you do not agree, please discontinue use of our services immediately.

3. Scope of Services
Ledo provides strategic product design, engineering, and governance services. Specific deliverables, timelines, and acceptance criteria for any project will be defined in a separate Statement of Work (SOW) or Proposal signed by both parties.
In the event of a conflict between these Terms and a specific SOW, the terms of the SOW shall prevail.
4. Eligibility & Account
Our services are intended for businesses and professionals (B2B). By contracting us, you represent that you have the authority to bind your organization to these Terms. You are responsible for maintaining the confidentiality of any account credentials provided during the project.
5. Client Responsibilities
- Provide timely access to necessary data, stakeholders, and systems.
- Ensure you hold necessary rights to any content or assets provided to Ledo.
- Review and approve deliverables within the agreed timeframes (typically 5 business days unless stated otherwise).
6. Fees, Invoicing & Payments
Fees are defined in each SOW. Unless otherwise agreed, invoices are issued upon milestone completion or monthly, payable within 30 days. Late payments may incur interest as per Spanish Law 3/2004 on combating late payment in commercial transactions.
7. Delivery & Acceptance
Deliverables are deemed accepted if no written objection is received within the acceptance period defined in the SOW. We reserve the right to pause work if critical feedback or payments are delayed.
Client IP: You retain full ownership of your pre-existing IP and data.
Deliverables: Upon full payment, Ledo assigns to you all transferable rights to the specific deliverables created for your project.
Ledo Tools: We retain ownership of our pre-existing methodologies, frameworks, and code libraries ("Ledo Tools") used to create the deliverables, granting you a perpetual, non-exclusive license to use them as part of the final product.
Both parties agree to keep confidential all non-public information disclosed during the engagement. This obligation survives the termination of the contract for a period of 2 years, or indefinitely for trade secrets.
10. Third-Party Tools
Our solutions may integrate third-party services (e.g., AWS, Tecnocrática CPD, Stripe, Vercel). You are responsible for complying with their respective terms of service and for any direct costs associated with their usage unless managed by Ledo under a specific agreement.
We warrant that our services will be performed in a professional manner consistent with industry standards.
Except as expressly stated in an SOW, deliverables are provided "AS IS". We do not guarantee that software will be error-free or uninterrupted forever, given the evolving nature of technology.
To the maximum extent permitted by Spanish law, Ledo's total liability for any claim arising out of these Terms or any SOW shall be limited to the total fees paid by the Client during the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages (e.g., lost profits).
13. Termination
Either party may terminate an SOW for material breach with 30 days' written notice if the breach is not cured. Upon termination, you must pay for all work completed up to the date of termination.
14. Data Protection & Privacy
We process personal data in accordance with our Privacy Policy. By using our services, you consent to such processing.
15. Communications
Legal notices should be sent to legal@ledo.net. We may contact you regarding service updates via the email associated with your account.
16. Governing Law & Jurisdiction
These Terms are governed by Spanish law. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of the city of Madrid, Spain, expressly waiving any other jurisdiction.
17. Changes to Terms
We may update these Terms from time to time. Continued use of our services after such changes constitutes acceptance of the new Terms.

Contract-First Approach
For enterprise engagements, the specific Master Services Agreement (MSA) or Statement of Work (SOW) we sign with you will always govern scope, deliverables, and specific liabilities.
